DANGERS OF NOT CLOSING THE COMPANY
The majority of businessmen close the company doors, but don’t make official the closing, according to a research by Sebrae/SP. However, even the inactive company has to carry out obligations. Otherwise, there can be problems later, including the payment of tickets.
“The high cost of the process and the excess of bureaucracy discourage the businessman from closing their business”, affirms the Sabrae accounting consulter, Julio Durante. For him, it’s more of a bureaucracy to close a company than to open one, but the effort recompenses the headache that not closing can bring.
According to Durante, the Federal Revenue can look for the businessman that didn’t fulfill his obligations, charging the taxes for the last five years. The lack of delivery of the declaration of Legal Person Income Tax, for example, generates a fine of R$414.00 per year, besides the cost of the tax.
CONSEQUENCES- If the obligation of the company is not paid, it will be charged by prosecution. The non-payment can result in the going of a justice official to the company. And the estate of the debtor can be subject to seizing.
According to Durante, the company can also be registered in the Default Registration (Cadin), becoming unable to obtain loans to operate normally. Another risk is suspension from the CNPJ.
The research made by Sebrae/SP shows that 61% of the small Sao Paulo companies that close don’t give drop in the Board of Trade. For 37%, the motive for not close is the high cost. Some 24% hope to reactivate the company, 11% blame the bureaucracy and 28% point out other reasons.
